These Terms of Service ("Terms") form a binding agreement between you and Foundium Technologies SRL ("Foundium", "we", "us", or "our") and govern your access to and use of the toolbar product, website, applications, APIs, and related services (together, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

1. The Service

The Service embeds an in-product toolbar and a set of AI agents that help teams capture reports, plan work, generate designs and code, and ship changes. The Service is provided on an evolving basis: we may add, change, suspend, or remove features at any time, with or without notice, at our sole discretion.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for all activity under your account and for keeping your credentials secure. You must provide accurate information and promptly update it. We may refuse, suspend, or terminate accounts at our discretion.

3. Licence and acceptable use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes. You agree not to: (a) copy, modify, resell, sublicense, or create derivative works from the Service; (b) reverse engineer, decompile, or attempt to extract source code or models; (c) access the Service to build a competing product; (d) circumvent usage limits, security, or access controls; (e) use the Service unlawfully, to infringe rights, or to transmit harmful, malicious, or abusive content; or (f) use automated means to scrape or overload the Service. We may monitor use to enforce these Terms.

4. Your content and inputs

You retain ownership of the content, code, prompts, and materials you submit ("Your Content"). You grant Foundium a worldwide, royalty-free licence to host, copy, process, transmit, display, and create derived and aggregated data from Your Content as needed to operate, secure, and improve the Service. You represent that you have all rights necessary to submit Your Content and to grant this licence, and that Your Content does not violate any law or third-party right.

5. AI-generated output

The Service uses automated systems and third-party models to generate designs, code, tests, and text ("Output"). Output may be inaccurate, incomplete, or unsuitable, and may be similar to output provided to others. You are solely responsible for reviewing, testing, and approving all Output before relying on, deploying, or shipping it. Foundium makes no representation that Output is correct, non-infringing, or fit for any purpose.

6. Intellectual property

The Service, including all software, models, designs, text, and trademarks, is owned by Foundium or its licensors and is protected by intellectual property laws. Except for the limited licence above, no rights are granted to you. Any feedback you provide may be used by us without restriction or compensation.

7. Fees

Paid plans are billed in advance and are non-refundable except where required by law. We may change pricing on a prospective basis. Failure to pay may result in suspension or termination.

8. Third-party services

The Service integrates with third-party tools (including code hosts, model providers, and analytics). Your use of those services is governed by their terms, and Foundium is not responsible for them.

9. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDIUM AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE OR OUTPUT. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FOUNDIUM FOR THE SERVICE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Foundium and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your Output, or your breach of these Terms.

12. Termination

We may suspend or terminate your access at any time, with or without cause or notice. On termination, your licence ends and we may delete your data after a reasonable period. Sections that by their nature should survive (including ownership, disclaimers, liability limits, and indemnity) survive termination.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date, and your continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of Belgium, without regard to conflict-of-law rules. The courts located in Brussels, Belgium will have exclusive jurisdiction over any dispute, and you consent to that venue.

1. Information we collect

We and our third-party partners use cookies, pixels, tags, local storage, device identifiers, and similar tracking technologies to recognise you, remember your preferences, measure and analyse usage, and track activity across sessions, pages, and, where permitted, across devices and over time. 3. AI processing and subprocessors

Content you submit may be transmitted to and processed by third-party model providers and other subprocessors to generate designs, code, tests, and text, and to operate and secure the Service. These providers process data on our behalf under contractual safeguards.

4. How we use information

We use the information we collect to: provide, maintain, and secure the Service; generate and improve Output; develop new features and train and refine our systems using aggregated or de-identified data; analyse usage and performance; personalise your experience; communicate with you, including service and marketing messages; prevent fraud and abuse; and comply with legal obligations.

5. How we share information

We share information with: service providers and subprocessors who support the Service (hosting, analytics, model providers, payment processors); integrated third-party tools you choose to connect; our affiliates; and authorities or others where required by law, to enforce our terms, or to protect rights, safety, and security. We may share aggregated or de-identified data that does not identify you. In a merger, acquisition, or sale of assets, information may be transferred.

6. International transfers

We operate internationally, and your information may be processed in countries other than your own, including outside the European Economic Area. Where required, we rely on appropriate safeguards such as standard contractual clauses.

7. Data retention

We retain information for as long as needed to provide the Service, comply with legal obligations, resolve disputes, and enforce our agreements. Retention periods vary by data type and context.
